Laiye User Agreement

(Applicable to the Public-CloudEdition products)

You are welcome to enter into this Laiye User Agreement (this "Agreement") with Laiye Technology HK Limited and Laiye Pte. Ltd. (hereinafter referred to as "we" or "Laiye") to use Laiye Software and Services.

Important Notice

[Read Carefully] You should carefully read this Agreement before clicking to accept it during the registration application process. Please be sure to carefully read and fully understand all terms, especially those concerning the exclusion or limitation of liability, the license of rights, governing law, and dispute resolution. Particular attention should be paid to any content in bold. If you have any questions regarding this Agreement, you may consult Laiye customer service. If you are a minor, you should read and fully understand this Agreement together with your guardian, and you may use Laiye Software and Services only after obtaining your guardian's consent.

[Act of Agreement] By filling in your information as prompted on the registration/login page, reading and voluntarily choosing to accept this Agreement, and completing the entire registration/login process, you indicate that you have fully read, understood, and accepted the entire content of this Agreement, have reached an agreement with us, and have become a Laiye user (hereinafter referred to as a "user" or "you"). If, during the reading process, you do not agree to this Agreement or any of its terms, you should immediately stop the registration process.

1. Definition

1.1 Affiliates: means all entity directly or indirectly Controlling, Controlled by or under common Control with Laiye.

1.2 Laiye Software and Services: Refers to the software and services provided to you by Laiye on Laiye's online platforms and developed by Laiye, including but not limited to the Agentic Process Automation (APA) series products, Agentic Document Processing (ADP) series products, Agentic Business Insights (ABI) series products, Robotic Process Automation (RPA) series products, Intelligent Document Processing (IDP) series products, Conversational AI platform, and related software operation and maintenance services (collectively referred to as "this Software and Service").

1.3 We: The provider and rights holder of Laiye Software and Services, namely Laiye Technology HK Limited and Laiye Pte. Ltd.

1.4 Laiye Website Rules: Refers to the rules, interpretations, announcements, and other content already published and subsequently published by Laiye.

1.5 Enterprise Edition: Refers to the software version provided by Laiye to customers that requires payment to obtain formal authorization and can be used for commercial purposes, typically including full functionality, technical support, and assurance services.

1.6 Community Edition: Refers to the publicly available, free-of-charge version of the software provided by Laiye for public use.

2. Account Registration and Use

You need to register and log in before using Laiye Software and Services.

2.1 User Eligibility

To register for a Laiye Software and Services account, you must legally possess the necessary and appropriate capacity for rights and acts, and you must have granted sufficient authority to the individual operating the account to complete the registration process. You must submit your own lawful, authentic, and valid identity information to complete real-name verification. If you fail to submit genuine registration information or do not pass identity verification, Laiye shall, in accordance with law, refuse to provide services to you.

2.2 Account Registration

Account registration refers to the process where a user logs into Laiye Software and Services, fills in relevant information as required, and confirms agreement to abide by this Agreement. If there is evidence, or if we determine based on relevant rules, that you have engaged in improper registration or improper use of a Laiye account, we may take measures such as freezing or closing the account, or refusing to provide services. If this causes losses to us or relevant parties, we have the right to pursue your corresponding liability.

When registering as a Laiye user and accepting Laiye software and services, you should provide Laiye with valid and effective contact information (phone number or email address). If such contact information changes, you are obligated to update the information promptly and ensure that you can be contacted.

You should provide the information required for registration to Laiye in good faith. You agree that the registration information you provide is true, accurate, complete, lawful, and valid. If your registration information changes, you should update it promptly. If the registration information you provide is unlawful, untrue, inaccurate, or incomplete, you shall bear the resulting responsibilities and consequences, and Laiye reserves the right to terminate your use of the various services on this website.

2.3 Account Security

You have the right to log into Laiye Software and Services using the mobile phone number you set or confirm and the password you set. Your account is set by you and should be kept confidential by you. We will never proactively ask you for your account password. Therefore, you are strongly advised to keep your account secure. We are not responsible for any losses and consequences arising from your voluntary disclosure of your account or from attacks, fraud, or other actions by others against you. If your account is stolen, lost, or used without authorization, you can contact us through the complaint channels provided in this Agreement. After verification and confirmation, we will assist you in freezing the account, changing the password, and so on. Meanwhile, you may seek recourse against the infringer through judicial, administrative, or other relief channels.

As your Laiye account is linked to your personal information, your Laiye account is for your personal use only. Without our consent, you are responsible for any direct or indirect authorization of a third party to use your Laiye account or obtain information under your account. If we determine, based on the breach identification procedures and standards stipulated in the Website Rules, that your account usage may endanger your account security and/or Laiye's information security, we may refuse to provide the corresponding services and reserve the right to take further measures.

2.4 Account Transfer

You may transfer your account only if there is a clear legal provision or judicial ruling, or with our consent, and such transfer complies with the user account transfer process stipulated in Laiye's rules. Once your account is transferred, the rights and obligations under the account are transferred accordingly. Except as provided above, your account may not be transferred in any way. Otherwise, we have the right to pursue your liability for breach of contract, and you shall bear all resulting responsibilities and consequences.

2.5 Account Cancellation

You have the right to apply for cancellation of your Laiye account. Provided that this does not violate laws and regulations and complies with Laiye's account cancellation rules, Laiye shall cancel your Laiye account upon your request. Account cancellation is irreversible. Once you cancel your account, you will no longer be able to log into it. Please proceed with caution.

2.6 Updates and Maintenance

You should promptly update the information you provide. Where the law expressly requires us, as a website service provider, to verify certain user information, we will, in accordance with the law, periodically check and verify your information. If we find that your account information is inaccurate, erroneous, or non-compliant with regulatory requirements, we will notify you to correct it within a specified period. You should cooperate by providing the latest, true, complete, and valid information. If we are unable to contact you using the last information you provided, you fail to provide the required information promptly, the information you provide is clearly untrue, or administrative or judicial authorities verify that the information you provided is invalid, you shall bear all losses and adverse consequences for yourself, others, and us. We may issue notices of inquiry or requests for rectification and require you to undergo re-authentication, up to and including suspension or termination of part or all of Laiye's services to you. We bear no responsibility for such measures.

3. Your Rights and Obligations

3.1 You have the right to enjoy, in accordance with this Agreement, the products and services we provide, such as the Agentic Process Automation (APA) series, Agentic Document Processing (ADP) series, Agentic Business Insights (ABI) series, Robotic Process Automation (RPA) series, Intelligent Document Processing (IDP) series, and Conversational AI platform. We have the right, based on business needs, to add to, reduce, suspend, or terminate the content of the above services.

3.2 You shall ensure that you do not engage in improper conduct or disrupt the normal order of the website when using Laiye Software and Services.

3.3 You shall avoid using Laiye Software and Services in improper ways, including:

    3.3.1 Using Laiye Software and Services in a way that infringes upon anyone's rights;

    3.3.2 Using Laiye Software and Services to develop, train, or improve other algorithms, models, and similar technologies that directly or indirectly compete with us, without our authorization;

    3.3.3 Attempting to extract data beyond your personal account permissions from Laiye Software and Services in any way;

    3.3.4 Using Laiye Software and Services, without our authorization, for any services that require specific qualifications as required by laws and regulations, including but not limited to medical or legal services;

    3.3.5 Using Laiye Software and Services for any commercial activities;

    3.3.6 Purchasing, selling, or transferring API keys without our prior consent;

    3.3.7 Sending to us any personal information of persons without or with limited capacity for civil conduct;

    3.3.8 Any other manner of use that may harm our interests.

3.4 If you use Laiye Software and Services to provide services to any third party, you should proactively contact Laiye for cooperation negotiations and obtain prior consent. Otherwise, your invocation of Laiye product functions may be deemed behavior that affects account security. You shall bear all corresponding rights, obligations, and responsibilities, and Laiye will not be responsible for any losses caused thereby.

3.5 You shall comply with all applicable laws, regulations, and policy restrictions and supervision of the Local Country and of foreign entities, including government authorities, when using Laiye Software and Services overseas. You shall not resell, export, or transfer Laiye Software and Services, or any products developed using Laiye Software and Services, to any countries or individuals prohibited under such laws, regulations, or policies. Without first obtaining the necessary approvals from the relevant government authorities and our prior written consent, you shall not directly or indirectly export Laiye Software and Services or any technology that contains or incorporates Laiye Software and Services.

4. Our Rights and Obligations

4.1 Within the scope required by law, we are obligated to maintain, using existing technology, the normal operation of the entire website, and to strive to improve and enhance technology, increase service transparency, improve the accuracy and reliability of generated content, and safeguard your product and service experience.

4.2 For problems and feedback you encounter related to Laiye Software and Service during registration and use, we will respond promptly within the time limits prescribed by law.

4.3 For improper conduct by you while using Laiye services, or any situation in which we deem it appropriate to terminate services, we have the right to take measures such as blocking or deleting relevant information or terminating the provision of services, and to promptly notify you and inform the relevant authorities. If you object to our handling measures, you may provide relevant evidence for explanation. If, upon verification, your behavior is confirmed to indeed violate this Agreement or laws and regulations, we have the right to terminate services to you, report the matter to the competent authorities, and pursue your legal liability.

4.4 To continuously improve and optimize the quality of Laiye's services, we may use the content you input into Laiye and the content Laiye outputs to you (collectively, "Training Data") for further development and training. We undertake that, before using Training Data for model training, we will anonymize it so that specific individuals cannot be identified.

We respect your right to choose. Upon your first use of Laiye, we will obtain your explicit authorization for the specific purpose of using Training Data for model training through a pop-up window or other conspicuous means. You may choose to agree or refuse. If you do not agree, we will not use your Training Data for model training, but this will not affect your use of Laiye's core functions.

4.5 We will make our best efforts and take necessary and reasonable measures to ensure the network security and stable operation of Laiye.

4.6 You understand and agree that the free-of-charge usage benefits of the Community Edition may be adjusted based on our research and development progress. You undertake not to hold us liable in any way for such adjustments or for the expiration of free-of-charge usage benefits. If we make changes to the rules governing free benefits, we will provide prominent notice, including by means of public announcements on our website or even pop-up notifications specifying the details of such changes.

5. Service Fees

If you wish to use the Laiye Software and Services for commercial purposes, you must obtain Enterprise Edition authorization and written permission from Laiye and pay fees to purchase the license of Laiye Software and Services. You can contact us through the contact information on the Laiye website to obtain Enterprise Edition authorization. Based on the technical support period, method, and content determined in the authorized service type you obtain, you will receive technical support services within the specified scope.

When using Laiye services, if paid services are involved, you shall comply with the terms of this section. We have the right to adjust and modify the billing models, fee standards, settlement methods, and similar arrangements for paid services based on operational needs.

5.1 Our paid services are primarily billed based on your actual resource consumption. Specific billing units, unit prices, billing cycles, payment methods, and related matters shall be subject to separate written agreements between you and us.

5.2 Based on your actual payment amount, we can issue VAT special invoices or ordinary invoices for you in accordance with applicable laws, regulations, and our internal policies.

5.3 Given that paid services (including but not limited to resource bundles and other value-added services) are virtual digital products, and that we reserve service capacity and resources for you after purchase, then, except as otherwise mandated by law, all paid services are non-refundable once purchased. Expiration without use or incomplete consumption does not constitute grounds for a refund.

5.4 We reserve the right to adjust the prices, billing models, and product specifications of paid services based on operational costs, market conditions, and other factors.

6. Operation and Maintenance Service Level

6.1 During your use of paid Laiye Software and Services, we are committed to providing stable and reliable operation and maintenance services. Details are available in the "Operation and Maintenance Service Description" published on the Laiye official website (For HK SAR, Macau SAR and Taiwan province: https://laiye.com/resources/ma-service; for outside the territory of China: https://bj-res-en.laiye.com/production/resources/Proposed_MnS_LAIYE_Global_V3.pdf). The "Operation and Maintenance Service Description" forms part of this Agreement. Please understand that Laiye has the right to revise the aforementioned service description from time to time and notify you by way of announcement.

6.2 If you are using the free operation and maintenance services we provide, although we will provide such services as described, we do not make any commitments regarding the availability or success rate of such services.

7. Intellectual Property

7.1 Charts, logos, webpage headers, button icons, text, service names, and other information displayed on the Laiye website are our property and are protected by applicable local and international intellectual property laws. Without our written permission, you may not use them for any products or services not provided by us in any manner likely to cause user confusion or in any way that disparages or defames us. All other trademarks appearing on Laiye websites that are not owned by us are the property of their respective trademark owners, who may or may not be affiliated with Laiye. Without the written permission of Laiye or the relevant trademark owner, no trademark on Laiye should be construed as granting you a license or right to use such trademark by implication, estoppel, or otherwise.

7.2 You fully understand and agree that Laiye, its programs, software, information, data, development documentation, and related elements and components are protected by the laws of the country or region where you are located or primarily use the Services ("the Local Country") and relevant international treaties, and the intellectual property rights are owned by Laiye and the relevant rights holders.

7.3 Without the written consent of Laiye and the relevant rights holders:

    7.3.1 You have no right to copy, disseminate, transfer, sell, lease, lend, license, provide to others, or use Laiye Software and Services in any commercial manner;

    7.3.2 You shall not create any software with functions substantially identical to those of Laiye Software and Services and provide it to third parties;

    7.3.3 You shall not use Laiye Software and Services to develop products or services that compete with Laiye Software and Services.

7.4 You fully understand and undertake that the content you upload or publish while using Laiye Software and Services is either original to you or you have obtained lawful authorization (including sub-licensing rights). The intellectual property rights of the content generated by you through uploading or publishing via Laiye Software and Services belong to you or the original copyright holder.

7.5 The copyright in the content you generate based on Laiye Software and Services shall be maintained by you, and you shall use such content after your own independent judgment. You shall independently maintain the relevant rights and bear responsibility for your use. You shall not delete, conceal, modify, or replace any proprietary rights notices, links, or similar content attached to or contained in Laiye Software and Services or the presented content. If any intellectual property disputes arise from your generation, use, or dissemination of related content, or if losses are caused to us, you shall be responsible for handling such matters and bear corresponding legal liability; if this causes losses to us, we have the right to seek compensation from you.

7.6 If you believe your intellectual property rights have been infringed, please contact us via Contact Us | Laiye (https://laiye.com/en/contact-us). After verifying the authenticity of your statement, we will delete or disable the relevant content and may terminate the accounts of repeat infringers.

8.User Information Protection and Authorization

We will strictly adhere to the principles of lawfulness, legitimacy, necessity, and good faith, and will process your data solely based on your instructions and for the sole purpose of providing you with this Software and Service. We will not use your data for any purpose other than the service purpose.

Except as otherwise provided by laws, regulations, or regulatory authorities, we will retain your data only for the period necessary to provide you with this Software and Service. We will cease all data usage activities after the data processing period ends, or return the relevant data to you or delete it according to your instructions. If laws and regulations do not permit us to delete such data, we shall not use such data for any purpose other than your mandate and instructions. If deleting such data is technically difficult to achieve, we will cease processing other than storage and taking necessary security protection measures.

We will adopt technical means and management measures that comply with industry standards (including but not limited to encryption, access control, security audits, and similar measures) to protect the security of your data and prevent data from unauthorized access, disclosure, use, modification, damage, or loss.

8.1 Protecting personal information is one of Laiye's basic principles. During the process of using this Software and Service, you may need to provide your personal information (including but not limited to your account information, device information, business data, and similar information) to enable Laiye to provide you with better services and corresponding technical support. Laiye will lawfully protect your rights to browse, modify, delete relevant personal information, and withdraw authorizations, and will use encryption technologies, anonymization, and other technical and security measures commensurate with this Software and Service to protect your personal information.

8.2 During the service provision process, Laiye will, based on the agreement signed with you, these terms, and your operational instructions, process the personal data and business data you upload or wish to process as necessary. Except for fulfilling the agreement, complying with laws and regulations, responding to your requests for technical support, or for purposes of further development, Laiye will not access, use, or process such data for any other purpose.

8.3 Laiye undertakes to take reasonable measures consistent with industry standards (including physical, managerial, and technical measures) to protect the security, integrity, and confidentiality of all data, and to prevent unauthorized access, use, disclosure, modification, or destruction.

8.4 You agree that Laiye may collect, store, and use the following service data related to Laiye Software and Service operation: (1) Usage statistics, operation logs, and function operation information generated during your use of Laiye Software and Service; (2) Information related to the performance, diagnosis, and analysis of Laiye Software and Service; (3) Information related to technical support or other service requests you raise. We use these data to maintain and improve Laiye Software and Service and to ensure the secure and stable operation of the platform.

8.5 You undertake that, before uploading, managing, or processing any personal information (including your own and others' names, contact information, ID numbers, document content, and similar information), you have obtained the explicit authorization and consent of the relevant information subjects in accordance with the requirements of relevant laws and regulations, or ensured that the information processing activity has another lawful basis. You shall ensure that your data processing activities comply with legal and regulatory requirements and shall independently bear all responsibilities arising therefrom.

8.6 Without your explicit consent, Laiye will not disclose your personal information or data to any third-party company, organization, or individual, except as otherwise mandated by laws and regulations. If it is necessary for Laiye to share, transfer, or provide your personal information or data to a third party, Laiye undertakes to comply with relevant laws, regulations, and privacy protection guidelines, seek your consent before data transfer, inform you of the purpose and scope of data sharing, and, at the same time, assess whether the third party has established reasonable protection mechanisms for the shared data to ensure that the data transfer activities comply with legal requirements and respect your rights.

8.7 For more detailed explanations on how we process and protect personal information, please refer to the Laiye General Privacy Policy and the Special Notice on the Privacy Policy.

9. Rules for Use by Minors

Minors may use Laiye Software and Service in accordance with the minor age standard of the Local Country (e.g., 16 years old in the EU, 13 years old in some U.S. states), under guardian supervision. We will verify guardian consent via methods recognized by local laws (e.g., facial recognition, written consent). For minor data protection, delete relevant information within the time limit required by local laws (e.g., 1 month under GDPR) if requested by guardians.

To implement enhanced protection for minors, we establish content-display rules as follows: on the homepage, first screen, and other primary access interfaces, we undertake to make our best efforts to establish and operate effective content-filtering and recommendation mechanisms to avoid proactively or preferentially pushing information that may adversely affect the physical or mental well-being of minor users.

We attach great importance to the protection of minors' personal information and take the following special measures:

9.1 [Guardian Consent] Before collecting or using personal information of minors, we must obtain the explicit consent of their guardians.

9.2 [Anonymization] We will anonymize any identifiable personal information of minors so that such information cannot be re-identified to a specific individual.

9.3 [Limited Purpose] We strictly limit the use of minors' personal information to providing or improving services appropriate for minors and to fulfilling obligations prescribed by law. Such information will not be used for any other commercial purposes beyond the above scope.

9.4 [Deletion Mechanism] If requested by a guardian, or if we discover that we have collected personal information of minors without obtaining valid consent, we will promptly initiate a deletion mechanism and—within the scope permitted by law and technically feasible—delete the relevant personal information. Guardians may submit deletion requests to us through the contact information specified in this Agreement.

To better protect minors' privacy rights, we particularly remind users (especially guardians) to strictly comply with laws and regulations and exercise caution when publishing content containing minors' portraits, voices, activity images, or similar materials. Once such content is published, it is deemed that you have obtained the necessary permissions from the relevant rights holders, agree that Laiye may display and use such content, and authorize us to process it in accordance with this Agreement and related policies.

Guardians shall bear the responsibility of supervising minors, guiding them to use the Internet reasonably, and preventing them from becoming addicted.

10. Export Control and Sanctions Law Compliance

10.1 Laiye's service systems are generally deployed within jurisdictions designated by Laiye for service delivery, which may include the Local Country. We will strictly comply with applicable cybersecurity, data security, and personal information protection laws and regulations and the corresponding national or regional standards in the Local Country (including, where applicable, any laws governing network security, data security, personal information protection, and outbound data transfer), and will store and process data collected and generated in connection with the Services in accordance with those requirements.

Where cross-border data transfers are involved, we undertake to comply with the export control and sanctions laws and regulations of the Local Country and, on that basis, comply with all other applicable economic and trade sanctions and export control laws and regulations (collectively, the "Applicable Export Control Laws"). You undertake not to use the software and services provided by Laiye for any purposes prohibited under the Applicable Export Control Laws. Without the permission of the export control authorities or other relevant government authorities in the Local Country or other applicable jurisdictions and without our prior consent, you, and any individuals or entities you authorize to use Laiye's products or services, must not use Laiye Software and Services, in any manner that would cause a violation of the Applicable Export Control Laws, to provide technology, software, or services that constitute controlled items to any individual or organization listed on applicable control lists or other prohibited or restricted-party lists.

At the same time, you also undertake that, where you use Laiye Software and Services outside the Local Country, you will comply with all laws, regulations, and policy restrictions and supervision of foreign entities such as the United States, the European Union, and/or other government authorities that are applicable to such use.

10.2 You shall cooperate with the compliance reviews and regulatory inspections lawfully conducted by Laiye, including but not limited to providing usage records, end-user statements, export license certificates, and other documents. If required by the competent authorities, we may lawfully suspend services to users involved in controlled regions.

10.3 If you violate the provisions of this clause and cause any losses to Laiye and relevant parties (including but not limited to administrative fines, reputational damage, litigation costs, and similar losses), you shall bear full compensation liability. We have the right to suspend or terminate the provision of services to you immediately based on the severity of the violation and to report the matter to the relevant authorities in accordance with the law. If we violate the provisions of this clause, resulting in you being subject to administrative penalties or bearing compensation liability to a third party, and it is determined through judicial or administrative procedures that Laiye bears primary responsibility, we shall bear the corresponding direct losses. In any case, the cumulative liability of Laiye under this Agreement shall not exceed the fees already paid by you for the relevant services.

11. Third-Party Services

During the process of using Laiye Software and Service, you may choose software or services provided by independent third parties to meet your diverse needs, including but not limited to third-party plugins or other applications.

You acknowledge and agree that third-party services are provided to you by such third-party service providers, and you shall comply with the agreements and other terms and conditions published or provided by such third parties (e.g., user agreements, usage policies, content policies) and local law. For software or services provided by third parties, you understand and agree that Laiye makes no express or implied warranties or guarantees regarding the legality, accuracy, validity, or security of third-party software or services. Any disputes, conflicts, or damages arising between you and a third party shall be resolved independently between you and that party. Laiye shall only bear corresponding liability to you within the scope of its own responsibility as stipulated in the service rules.

12. Limitation of Liability

12.1 You undertake that you will make every effort to ensure that Laiye, its Affiliates, and employees are not subject to any litigation, arbitration, compensation claims, or losses related to your use of Laiye Software and Services. If such a situation arises due to your fault, or arises not due to your fault but you fail to promptly cooperate in taking measures to eliminate the impact or reduce losses, you shall bear such liability on their behalf.

12.2 We perform basic security obligations in accordance with the law. However, Laiye, as the service provider, shall not bear liability for breach of contract for obstacles, defects, delays, or changes in performance arising from the following reasons:

    12.2.1 Force majeure factors such as natural disasters, strikes, riots, wars, government actions, or judicial and administrative orders;

    12.2.2 Public service factors or third-party factors such as power supply failures or communication network failures;

    12.2.3 Factors such as routine or emergency equipment and system maintenance, equipment and system failures, and network information and data security incidents, under circumstances where Laiye has exercised good-faith management.

12.3 You understand that, although we have made our best efforts, due to inherent technical limitations of the technology on which Laiye Software and Services rely, we still cannot make any of the following guarantees:

    12.3.1 Laiye Software and Services will fully and continuously meet your particular needs, purposes, or expectations;

    12.3.2 Laiye Software and Services will be 100% accurate, reliable, timely, secure, continuous, and uninterrupted;

    12.3.3 The authenticity, completeness, accuracy, timeliness, legality, or usefulness of the content generated by Laiye Software and Services; such content does not constitute any professional advice provided by us, and you should make your own independent judgment and bear the risks of use;

    12.3.4 That the code, programs, and related content that may be contained in Laiye Software and Services are free from any defects or errors.

Based on the principles of consistency between benefits and compensation and of fairness and reasonableness, if any abnormal interruption of Laiye Software and Services is caused by us, we will compensate you for the losses you incur as a result. However, the maximum amount of compensation you may receive shall not exceed the total amount of relevant fees actually received by us in the twelve (12) months preceding the occurrence of the claim.

12.4 Unless otherwise explicitly stated in writing, all information, content, materials, goods (including software), and services that you request from Laiye are provided by us based on their current condition and the resources currently available.

12.5 Unless otherwise explicitly stated in writing, and to the maximum extent permitted by the laws of the Local Country and any other mandatory applicable laws, we make no representations or warranties of any kind, express or implied, regarding the information, content, materials, products, software, or services contained in or otherwise provided through Laiye. Internet services have inherent security risks. We cannot guarantee that the services and their servers will be completely free from interference or security vulnerabilities, but we undertake to adopt security protection measures commensurate with the level of risk.

12.6 Unless otherwise explicitly stated in writing or liability is mandated by law, we shall not be liable for any indirect, punitive, incidental, special, or consequential damages (such as loss of profits, loss of opportunities, loss of reputation/goodwill, or other damages) arising from the use of Laiye or all information, content, materials, products, software, and services contained therein or otherwise provided to you.

12.7 Out of respect for your personality rights, we undertake not to discriminate against you or otherwise treat you unfairly, and not to make any malicious assumptions about your purpose of use. Unless required by competent authorities, we will not proactively create personality profiles for you or conduct criminal risk analysis based on your usage behavior, nor will we monitor how you use the Output Content afterwards. You undertake to use Laiye for lawful and legitimate purposes and shall not use it to engage in illegal or criminal activities.

12.8 This Agreement does not establish a partnership, joint venture, or agency relationship between you and us. Without the prior written consent of the other party, neither party has the right to bind the other party or undertake obligations on behalf of the other party.

13. Liability for Breach of Contract

13.1 A party that breaches this Agreement shall bear liability for such breach in accordance with this Agreement and relevant laws.

13.2 If you engage in any of the following acts, it shall be deemed a breach. Depending on the actual circumstances, we have the right to seek recourse from you to varying degrees for any losses caused to us, and, at the same time, we have the right to take corresponding actions:

    13.2.1 We have the right to review your registration data and software/service usage behavior. If problems are found or suspected in the registration data or software/service usage behavior, we have the right to issue a notice of inquiry and/or demand for correction. If you fail to provide a reasonable response within a reasonable period, we may block, delete, or otherwise handle your registration data or software/service usage.

    13.2.2 If it is confirmed by an effective legal document or administrative penalty decision that you have engaged in illegal activities, or if we have sufficient factual basis to determine that you have engaged in illegal activities or violated this Agreement, we have the right to publicly disclose your illegal activities through lawful channels.

    13.2.3 For various types of information you publish on Laiye, we have the right to independently judge and delete or take other restrictive measures without notifying you. We shall not be liable for any consequences resulting from this, such as your inability to use the account and related services normally, or inability to obtain assets or other rights within your account. This includes information that we have reason to believe contains fraudulent, malicious, or false content; information that we have reason to believe attempts to disrupt the normal order of the website; and information that we have reason to believe violates public interests or may seriously harm the legitimate interests of us and other users.

13.3 If you violate this Agreement or other service terms and cause complaints or litigation claims from third parties, you shall handle them independently and bear all possible resulting legal liabilities. If your illegal or breaching behavior causes Laiye and its Affiliates to compensate any third party or to be subject to penalties from state authorities, you shall also compensate Laiye for all losses suffered as a result.

13.4 If any material defects occur in Laiye Software and Services due to our reasons, or if we violate our commitments relating to data protection or information security, thereby causing direct losses to you, we will bear the corresponding liabilities in accordance with this Agreement and applicable laws and regulations. Unless otherwise mandated by law, Laiye's liability for loss compensation under this Agreement shall not exceed the total amount of the relevant fees you have paid during the twelve (12) months preceding the occurrence of the damage..

14.Notices

14.1 When you register as a Laiye website user and accept Laiye services, you should provide us with true and effective contact information. If such contact information changes, you are obligated to promptly update the relevant information and maintain a contactable status.

The account generated when you register as a Laiye website user is used to log in to the Laiye website and also serves as your effective contact method.

We will deliver various notices to the above-mentioned contact methods. The content of such notices may have significant favorable or unfavorable effects on your rights and obligations. Please be sure to pay timely attention.

14.2 We will send notices to you through the above contact methods. Written notices sent electronically, including but not limited to announcements on the Laiye website, text messages sent to the registered contact phone number you provided, or emails sent to the email address you proactively provided, shall be deemed delivered upon successful sending.

14.3 For any disputes arising from the Laiye website, you agree that judicial authorities (including but not limited to courts) may serve legal documents (including but not limited to litigation documents) on you through modern communication methods such as text messages or by mail. The mobile phone number and other contact methods you designate for receiving legal documents are the contact information you provided during registration or updates on the Laiye website. Service of legal documents by judicial authorities to the above contact methods shall be deemed effective service.

You agree that judicial authorities may use one or more of the above methods to serve legal documents on you. If judicial authorities use multiple methods to serve legal documents, the time of service shall be determined by the earliest method by which service is effected.

You agree that the above service methods apply to all stages of judicial proceedings. If litigation proceedings are initiated, this includes but is not limited to first instance, second instance, retrial, enforcement, and supervisory procedures.

You shall ensure that the contact information provided is accurate and valid, and update it in real time. If the contact information provided is inaccurate, or if you fail to promptly inform us of changes in contact information, resulting in legal documents not being served or not being served in a timely manner, you shall bear the possible legal consequences yourself.

15. Termination of this Agreement

15.1 Termination of this Agreement includes the following circumstances:

    15.1.1 You actively suspend or terminate the Agreement, including but not limited to failure to renew upon expiry;

    15.1.2 We actively suspend or terminate services due to your breach of contract, including but not limited to your violation of this Agreement, the "Laiye General Privacy Policy," or other software and service rules;

    15.1.3 Services are suspended or terminated when required by the state or relevant government departments, or due to force majeure events;

    15.1.4 Other circumstances where services should be suspended or terminated according to laws and regulations.

15.2 Handling after Termination of this Agreement

After the termination of this Agreement, unless otherwise stipulated by law, we have no obligation to disclose any information in your account to you or any third party designated by you. The termination of this Agreement does not affect rights and obligations that have already arisen prior to termination, nor does it affect the continued performance of provisions in this Agreement regarding dispute resolution, confidentiality, intellectual property, liability for breach, and other provisions that are intended to remain in force.

After the termination of this Agreement, we still retain the following rights:

    15.2.1 If you actively terminate this Agreement midway or abandon paid rights, or if we cancel your account or terminate your paid rights based on laws and regulations, this Agreement, or other service agreements and rules, you shall not request a refund for part or all of the corresponding service fees.

    15.2.2 We have the right to stop providing you with Laiye Software and Services after this Agreement terminates.

    15.2.3 For any breach of contract or violation of rules by you during the period of service use, we still have the right to pursue your liability for breach of contract in accordance with this Agreement; if, due to your actions, we suffer third-party claims, administrative penalties, or incur other losses and expenses, you shall bear corresponding compensation liability.

16. Complaint and Appeal Handling

16.1 Complaint. If you believe that this Software and Service infringes upon your intellectual property rights or other rights, or if you discover any illegal or false information or usage behavior that violates this Agreement, you can contact us via Contact Us | Laiye (https://laiye.com/en/contact-us). We will process your complaint after receiving your complaint materials and verifying their authenticity, including promptly taking reasonable measures such as stopping generation and stopping transmission.

16.2 Appeal. If you believe that we have inappropriately restricted your ability to use this Software and Service, you can contact us via Contact Us | Laiye (https://laiye.com/en/contact-us). We will notify you of the appeal result by email.

16.3 We will provide you with feedback on the relevant situation within 15 working days after you lodge a complaint or appeal.

17. Governing Law and Dispute Resolution

17.1 The formation, effectiveness, interpretation, revision, supplement, termination, performance, and dispute resolution of this Agreement shall be governed by the laws of the HK SAR(for HK SAR, Macau SAR and  Taiwan province users) or the Singapore (for users outside China), excluding its conflict-of-laws rules.

17.2 Any dispute arising from, or related to, your use of Laiye's services shall be resolved through negotiation between Laiye and you. If the negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (for HK SAR, Macau SAR and Taiwan province users) or the Singapore International Arbitration Centre (for users outside China).a court of competent jurisdiction for litigation.

17.3 If any term of this Agreement is deemed void, invalid, or unenforceable, that term shall be deemed severable and shall not affect the validity and enforceability of the remaining terms of this Agreement.

18. Miscellaneous

18.1 Based on changes in national laws, regulations, policies, technical conditions, product functions, and similar factors, we will revise this Agreement as appropriate. The revised content forms an integral part of this Agreement. To facilitate your timely understanding of the latest version of this Agreement, you can check the relevant pages on the Laiye website. If you continue to use Laiye Software and Services, it means that you have agreed to accept the revised content of this Agreement. If you object to the modified terms of this Agreement, please immediately stop logging in or using Laiye Software and Services. If you continue to log in or use Laiye Software and Services, you will be deemed to accept and agree to the modified terms of this Agreement.

18.2 We have the right, based on the needs of Laiye services or operation, to unilaterally decide to arrange or designate our Affiliates, controlling companies, successor companies, or third-party companies approved by us to continue operating Laiye. Furthermore, certain services under this Agreement may be provided to you by our affiliates, controlling companies, successor companies, or third-party companies approved by us. Your acknowledgement and acceptance of the relevant service content shall be deemed as acceptance that the relevant rights and obligations are also governed by this Agreement.
