You agree to indemnify, defend and hold LAIYE and our affiliates, harmless from and against any and all claims, liabilities, damages, losses, costs (including reasonable legal fees) and other expenses that arise directly or indirectly out of or from (a) your breach of these Terms; (b) any allegation that any User Submissions infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (c) your activities in connection with this Site.

You must be a natural person, legal entity, or other organization with full capacity for civil conduct. You shall possess all the qualifications for using this Site as prescribed by applicable laws and regulations, if required. LAIYE grants you a non-exclusive, non-transferable, limited permission to access and display the Web pages with in this Site as a customer or potential customer of LAIYE provided you comply with these Terms. The use authorized under this these Terms is non-commercial in nature. All other use of this Site is prohibited.

You agree not to use this Site or content provided on or through this Site, for any purpose that is unlawful or prohibited by these Terms or the rules, guidelines or terms of use posted for a specific area of this Site. For example, you may not:

Modification & Termination

LAIYE reserves the right to amend, add or delete any content in these Terms at any time. Each time you access or use this Site, you agree to be bound by the terms and conditions then in effect.

Termination

You are free to stop using this Site and delete your account at any time. LAIYE may suspend or terminate your access if you breach these Terms, to comply with the law, or if your use causes risk or harm to us or others, without prior notice, and you must immediately destroy all copies of downloaded materials in your possession, custody or control.

LAIYE reserves the right to interrupt or terminate access to this Site at any time without prior notice, and LAIYE shall not be liable to the user or any third party for any loss arising from the interruption or termination, unless otherwise provided by law or otherwise agreed by the parties.

Governing Law and Dispute Resolution

Governing Law

The use of this Site, any claim or dispute relating to this Site and the validity, interpretation and implementation of these Terms shall be governed by, and construed in accordance with the Laws of the Singapore without regard to its conflicts-of-law principles.

Pre - Dispute Resolution

LAIYE shall endeavor to understand and resolve your concerns prior to the initiation of any formal legal proceedings. Prior to formal legal action, both of us agree to attempt to resolve the Dispute through informal consultation in good faith. You shall provide written notice to LAIYE to commence such informal consultation. LAIYE shall provide notice to you at the email address registered in connection with your account. If we fail to reach a resolution of the Dispute within sixty (60) days commencing from the date of receipt of the relevant notice by the receiving party, either of us shall be entitled to initiate arbitration in accordance with the terms hereof. Any statute of limitations will be tolled during this informal dispute resolution process.

Arbitration

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. Notwithstanding the foregoing, the Parties may bring an action for injunctive relief and dispute on infringement of Intellectual Property Rights and breach of confidentiality for Confidential Information in any court or tribunal having competent jurisdiction over such matters.

General Terms

Confidential Information

You and LAIYE may exchange information for the purpose of these Terms which will be deemed confidential if it's marked confidential or would normally under the circumstances be considered as such. The receiving party will treat the confidential information with no less than reasonable care and will only use for the purpose and for the duration of the relationship hereunder. The receiving party may only disclose confidential information: (i) under a written and signed permission document from the disclosing party, or as necessary to comply with applicable law or valid order of a court of law or other governmental body, only if the receiving party promptly notifies the disclosing party of the required disclosure and provides assistance to prevent or limit the disclosure or (ii) to its affiliates, employees, agents, investors or professional advisors, who need to know the confidential information for the purposes of this Terms of Use and who are bound by confidentiality obligations at least as restrictive as in this section. LAIYE may disclose your confidential information without notice if it reasonably believes necessary to protect the rights or safety of LAIYE, its customers, partners, or the public.

Entire Agreement

These Terms contain the entire agreement between you and LAIYE regarding your use of this Site and supersedes any prior representations, advertisements, statements, proposals, negotiations, discussions, or agreements regarding your use of this Site.

Severability

If any provision or portion of these Terms is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire agreement will be severable and will remain in effect, to the fullest degree consistent with the intent of this document.
