Laiye Technology (“LAIYE”, “we”, “us”, “our”) respects your right to privacy, and we are dedicated to securing and protecting any information we have about you. This Privacy Policy describes the ways we collect, use, and share information that relates to an identifiable individual (“Personal Data”) and also how you can exercise your rights under applicable privacy and data protection laws.

1. Applicability of this Privacy Policy

This Privacy Policy describes how LAIYE processes Personal Data collected from you or about you through LAIYE Web Sites (the “Site”), and other interactions you have with LAIYE.

This Site is offered to businesses, companies and/or other entities (our “Customers”) for professional use. We enter into customer agreements (for example, our master license agreement, terms of use, etc.,) with our Customers. These agreements govern the delivery and use of the Site (the “Customer Agreement”). This Privacy Policy governs where LAIYE is the data controller responsible for the processing of the Personal Data.

This Privacy Policy does not apply to any input or output generated via the Site, or documents uploaded by customers. These data shall be processed either by Customers or by us on Customers’ behalf and we call it (“Customer Data”). Our use and process of Customer Data received through the Site is governed by the relevant Customer Agreement. So any queries related to Customer Data should be directed to our Customers who are the data controllers.

In the course of providing the Site, we collect and receive Personal Data in different ways and from different sources. This Personal Data includes:

Information that you provide directly

We collect Personal Data directly from you when you create an account with us, use the Site, or interact with us via some other means. For details regarding the Personal Data we collect, please refer to the applicable “Supplemental Privacy Notice”.

Information we collect from third parties

We also receive certain information about you from third parties, such as:

a) Our trusted partners: marketing vendors may provide us with information about potential customers; event organisers (for example, trade shows, professional events, conferences, and seminars you attend) may provide us with information about you and information relating to your use of the Site.

b) Other natural persons: other natural persons may provide us with information about you when they send you materials related to us or invite you to participate in events organized by us.

Information that we collect automatically

We collect your Personal Data indirectly, through Cookies and Similar Technologies. We use cookies, scripts, or similar technologies (collectively “Cookies and Similar Technologies”) to manage the Site and to collect information about you and your use of the Site. • to investigate and study the effectiveness of the Site;

• to develop, improve, and update the way in which we provide support and carry out our other business practices;

Our Affiliates

We may share Personal Data that we collect with any corporate affiliates. The information shared may be used for the purposes described in this Privacy Policy and generally to operate our business, including, processing for fraud prevention, payment processing, customer support, business development, user account administration, and IT, technical, and engineering support.

Vendors and Service Providers

To assist us in meeting business operations needs and to perform certain services and functions, we may share your Personal Data with vendors and service providers, including providers of hosting services, cloud service providers, and other information technology services providers, event management services, email communication software, advertising and marketing services, and web analytics services. Pursuant to our instructions, these parties will access, process, or store Personal Data in the course of performing their duties to us.

Third-party Websites and Services

The Site may contain links to other websites not operated or controlled by LAIYE (“third-party sites”). The information that you share with third-party sites will be governed by the specific privacy policies and terms of use of the third-party sites and not by this Privacy Policy. By providing these links we do not imply that we endorse or have reviewed these sites. Please contact the third-party sites directly for information on their privacy practices and policies.

Business changes

If we are involved in strategic transactions, (such as sale, merger, reorganizations, liquidation, or transition of service to another provider), your Personal Data and other information may be shared in the diligence process with counterparties and others assisting with the transaction and transferred to a successor or affiliate as part of that transaction along with other assets.

Professional Advisors, Authorities, Regulators, and other Entities

We may share your Personal Data with our advisors, accountants, consultants, regulators and tax authorities, law enforcement, government agencies, civil litigants, and other entities as reasonably necessary.

Legal Requirements

LAIYE may also share your Personal Data if required to do so by law or in the good faith belief that such action is necessary to (i) comply with a legal obligation, including to meet national security or law enforcement requirements, (ii) protect and defend our rights or property, (iii) prevent fraud, (iv) act in urgent circumstances to protect the personal safety of users of the Services, or the public, or (v) protect against legal liability.

5. How we Keep Your Personal Data Secure

The security of your information is important to us. We protect your Personal Data through technical and organizational measures designed to mitigate the risk of unlawful or unauthorized access, destruction, loss, alteration, disclosure, or use of your Personal Data. The measures are designed to provide a level of security appropriate to the risk of processing.

6. Data Retention

We retain the Personal Data we collect from you for as long as necessary for the purposes described in this Privacy Policy. If you have a Customer Agreement with us, we will delete your data in accordance with your Customer Agreement.

Personal Data we collect from you will be retained within Singapore. Unless stipulated by applicable laws and regulations, we will not transfer your Personal Data across borders to overseas.

How long we retain Personal Data will depend on a number of factors including whether we need to retain your data to:

• to comply with the terms of your Customer Agreement;

•to comply with or demonstrate compliance with our legal obligations, to resolve  disputes, or to enforce our agreements; and

• in relation to Account Information, for our tax, accounting, and audit requirements.

When we have no ongoing legitimate business need or legal reason to process your Personal Data, we will either delete or anonymise it.

7. Minors Data

If you are a minor as defined under the applicable laws and regulations of your country or region of residence (the “Applicable Jurisdiction”), you may use this Site only with the prior consent and supervision of your parent or legal guardian. You are strongly encouraged to review this Privacy Policy together with your parent or legal guardian to ensure that you fully understand our data processing practices and your rights.

We do not knowingly collect, use, disclose, or otherwise process Personal Data of minors without the verifiable consent of their parent or legal guardian, except where such processing is expressly permitted or required by Applicable Laws. Where parental or guardian consent is required, we will process a minor’s Personal Data only after obtaining such consent and strictly within the scope authorized by the parent or legal guardian and permitted by Applicable Laws.

If we become aware that we have collected or processed Personal Data of a minor without valid parental or guardian consent, or in excess of the permitted scope, we will take reasonable and appropriate measures to promptly delete, anonymize, or otherwise remediate such Personal Data, unless retention is required by law.

8. Your Data Protection Right

Individuals have certain statutory rights with respect to their Personal Data. Subject to certain exceptions and exemptions provided by law and where applicable, you may:

Object to processing of your Personal Data, ask us to restrict processing of your Personal Data.

Opt-out of marketing communications we send you at any time. The methods shall be made available to you in the software functions, service options or the relevant “Supplemental Privacy Notice”. If you choose to opt out of marketing communications, we will still send you non-promotional emails, such as emails about your account or our ongoing business relations.

Withdraw your consent at any time, if we have collected and processed your Personal Data with your consent. Withdrawing your consent will not affect the lawfulness of any processing we conducted prior to your withdrawal, nor will it affect processing of your Personal Data conducted in reliance on lawful processing grounds other than consent.

9. Update to this Privacy Policy
